General terms and conditions of sale
Article 1 - Purpose
These general terms and conditions of sale (GTC) govern the contractual relationship between Circulance and its clients for the provision of consulting services in circular economy and regulatory compliance.

Article 3 - Services
Circulance offers the following services:
- Regulatory expertise (CLP, REACH, SDS)
- Waste characterisation and management
- Occupational health & safety
- Strategic support & litigation
- Training & awareness
- Circular economy consulting
- Tenders and public/private procurement
- Tool development and digitalisation
Article 4 - Quotes and orders
Every service is subject to a detailed quote specifying:
- The nature of the services
- The delivery timeframes
- The applicable rates
- The payment terms
The quote is valid for 30 days. The order is considered accepted as soon as the quote is signed by the client.
Article 5 - Rates and invoicing
Rates are expressed in euros excluding taxes. They are firm and non-revisable for the duration of the contract, unless otherwise agreed.
Invoicing is carried out according to the terms agreed in the quote. Invoices are payable upon receipt.
Article 6 - Payment terms
Payment is made by one of the following methods:
- Bank transfer
- Cheque
- Online payment
In the event of late payment, penalties of 3 times the legal interest rate may be applied.
Article 7 - Performance of services
Circulance undertakes to perform the services diligently and in accordance with best practice. The timeframes indicated in the quote are given for information only.
The client undertakes to provide all the elements necessary for the proper performance of the services.
Article 8 - Confidentiality
Circulance undertakes to respect the confidentiality of the information communicated by the client in the context of the performance of the services.
Article 9 - Liability
Circulance's liability is limited to the amount of the fees received for the service concerned.
Circulance cannot be held liable for indirect damages or loss of profits.
Article 10 - Termination
In the event of early termination by the client, the services already performed are invoiced on a pro-rata basis.
Article 11 - Applicable law
These GTC are governed by French law. In the event of a dispute, the French courts shall have exclusive jurisdiction.
